With regards to the sale and purchase of land and premises, before the signing of a Sales & Purchase Agreement we recommend, requesting a structural survey, if there is enough time to obtain one. We also recommend Certificates of title for any such assets to be obtained and reviewed by us.
Including the above we will conduct an investigation on the property with the tax department and that the property is mortgage free and not subject to a memo or any other prohibition. As a result of our investigation, we will then draft an SPA including a warranty by the seller that the property has good title and that it is free from encumbrances.
We also advise a check on whether all relevant planning legislation has been complied with, especially if the buyer intends to make alterations or improvements to any buildings, or is planning to effect any new construction.
